About Board Governance
Governance is the ongoing process of due diligence whereby an authorized group of people – typically called a board – assures the legal and moral health and effectiveness of an organization. The board is legally and ethically responsible for the health and effectiveness of the organization and the fulfillment of the organization’s mission.

The Winona Area Chamber of Commerce is governed by a Board of Directors. The Board is composed of fifteen (15) elected chamber members, all of whom are elected to serve three (3) year terms, the terms commencing on January 1 of each year. The Board is divided into three (3) groups of five (5) individuals; each group serves at intervals so that each year five (5) members retire from the board allowing for five (5) new Board members to be seated.
There are five offices of the Winona Chamber Board: the Chairman of the Board, the Past Chairman, the Chair-Elect, the Treasurer and the Board Member-at-large.
The Chamber President/CEO serves as a non-voting member of the Chamber Board of Directors.
